1. Introduction

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“Attendee”) and Verbate, Inc. (“Verbate,” “we,” “us,” or “our”) concerning your registration for and participation in the ERG-Land Conference scheduled for June 26, 2025, at the New York City Center (the “Event”). By purchasing a ticket and attending the Event, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Eligibility and Registration

2.1. Eligibility

Age Requirement: Attendees must be at least eighteen (18) years old as of the date of the Event.

Professional Capacity: The Event is intended for ERG Leaders and Program Managers.

2.2. Registration Process

Accurate Information: You agree to provide accurate and complete information during registration.

Acceptance of Terms: Completion of registration constitutes acceptance of these Terms.

3. Ticketing and Pricing

3.1. Ticket Types and Pricing

Standard Ticket Price: $699 USD.

Discounts:

ERG Leadership Community Discount: $200 USD off for members of Verbate’s ERG Leadership Community.

Early Bird Discount: $100 USD off for tickets purchased during the Early Bird period.

Discount Stacking: Discounts are cumulative where eligibility criteria are met.

3.2. Early Bird Period

Determination: The Early Bird period begins and ends on dates determined solely by Verbate.

Modification: Verbate reserves the right to modify or terminate the Early Bird period at any time without prior notice.

3.3. Bulk Purchases and Unassigned Tickets

Unassigned Tickets: Allowed for organizational purchases without immediate attendee assignment.

Discount Verification: If a discounted ticket is used by an ineligible attendee, Verbate may charge the difference.

3.4. Ticket Transfer and Refund Policy

No Refunds: All ticket sales are final and non-refundable.

Ticket Transfers: Permitted up to thirty (30) days before the Event with submission of required attendee information.

Credit Option: At Verbate’s discretion, ticket value may be applied toward another Verbate offering.

4. Attendee Information and Admission

4.1. Mandatory Information Submission

Attendee Information Form: Must be completed and submitted at least thirty (30) days prior to the Event.

Required Details: Full name, contact information, professional role, accessibility needs, dietary restrictions, etc.

4.2. Admission Conditions

Conditional Admission: Submission of the Attendee Information Form is required for Event entry.

Late Submissions: Forms submitted less than thirty (30) days prior may result in limited accommodations.

4.3. Accommodation Efforts

Reasonable Efforts: Verbate will make reasonable efforts to accommodate disclosed needs submitted on time.

Standard Experience: Late or omitted disclosures may result in a standard Event experience without special accommodations.

5. Use of Personal Data

5.1. Data Collection and Consent

Personal Data: Includes name, email address, contact details, and other information provided.

Consent to Use: By registering, you consent to Verbate’s collection and use of your personal data as described herein.

5.2. Purpose of Data Use

Event Administration: Managing registration, attendance, and communications.

Marketing Communications: Verbate may use your personal data to send promotional materials and updates about our products and services.

Sharing with Sponsors and Vendors: Your personal data may be shared with Event sponsors or vendors for marketing or engagement purposes.

5.3. Data Sharing and Third Parties

Sponsors and Vendors: May receive your personal data as part of their involvement in the Event.

Opt-Out Option: You may opt out of marketing communications by following the unsubscribe instructions or contacting us at help@verbate.io.

5.4. Data Protection Compliance

Legal Compliance: Verbate will handle your personal data in accordance with applicable data protection laws, including GDPR and CCPA where applicable.

Privacy Policy: Additional details are outlined in Verbate’s Privacy Policy, which is incorporated by reference.

6. Code of Conduct

6.1. Expected Behavior

Professionalism: Maintain respectful and courteous behavior toward all participants.

Compliance: Follow all instructions from Event staff and adhere to these Terms.

6.2. Prohibited Conduct

Harassment and Discrimination: Zero tolerance for harassment or discrimination of any kind.

Unauthorized Solicitation: Marketing or promotional activities without Verbate’s express consent are prohibited.

6.3. Enforcement

Violations: May result in removal from the Event without refund and potential banning from future events.

Reporting: Incidents should be reported promptly to Event staff.

7. Intellectual Property Rights

7.1. Event Content

Ownership: All Event content is owned by Verbate or its licensors.

Restrictions: Unauthorized use, reproduction, or distribution of Event materials is prohibited.

7.2. Attendee Contributions

Assignment of Rights: Any content you contribute during the Event becomes Verbate’s property.

License Grant: You grant Verbate a perpetual, worldwide, royalty-free license to use your contributions.

8. Photography and Recording

8.1. Consent to Use of Likeness

Grant of Rights: You consent to Verbate’s use of your likeness in photos and recordings for promotional purposes without further approval or compensation.

8.2. Attendee Restrictions

Personal Recording: Attendees may not record sessions without prior written consent from Verbate.

9. Health and Safety

9.1. Compliance

Health Protocols: Adhere to all health and safety guidelines in effect at the time of the Event.

9.2. Assumption of Risk

Acknowledgment: You accept inherent risks associated with large gatherings.

10. Liability and Indemnification

10.1. Personal Responsibility

Property Damage: You are responsible for any damage you cause to the Venue or others.

10.2. Limitation of Liability

No Liability: Verbate is not liable for personal injury, property damage, or loss during the Event.

10.3. Indemnification

Your Obligations: You agree to indemnify Verbate against any claims arising from your actions or breach of these Terms.

11. Vendor and Sponsor Participation

11.1. Third-Party Services

No Endorsement: Verbate does not endorse vendors or sponsors’ products or services.

11.2. Interactions

Separate Terms: Any dealings with vendors or sponsors are between you and them, subject to their terms.

12. Event Changes and Force Majeure

12.1. Event Modifications

Right to Modify: Verbate may change the Event date, location, agenda, or content at its discretion.

12.2. Notification

Communication: Significant changes will be communicated via the contact information you provided.

12.3. Force Majeure

Definition: Includes acts beyond Verbate’s reasonable control, such as natural disasters or government actions.

Rights: Verbate may cancel or reschedule the Event without liability in such cases.

13. Governing Law and Dispute Resolution

13.1. Governing Law

Jurisdiction: These Terms are governed by the laws of the State of New York.

13.2. Dispute Resolution

Arbitration: Any disputes shall be resolved through binding arbitration in New York County, New York.

Waiver of Class Actions: You waive the right to participate in class action lawsuits.

14. Miscellaneous Provisions

14.1. Amendments to Terms

Right to Amend: Verbate may amend these Terms at any time. Changes will be effective upon posting on our website.

14.2. Severability

Invalid Provisions: If any provision is found invalid, the remaining Terms remain in effect.

14.3. Assignment

Non-Transferable Rights: You may not assign your rights under these Terms without Verbate’s consent.

14.4. Entire Agreement

Superseding Effect: These Terms constitute the entire agreement between you and Verbate regarding the Event.

14.5. Notices

Method of Communication: Notices may be sent electronically to the email address you provided.

14.6. Language

Governing Language: These Terms are in English; translations are for convenience only.
